1) Acceptance
By accessing tanishkgroup.com or engaging our services, you agree to these Terms, our Privacy Policy, Cookies Policy, Refund & Cancellation Policy and Disclaimer. If a signed agreement (MSA/SOW/WO) conflicts with these Terms, the signed agreement prevails for that engagement.
2) Definitions
- Real Estate Services: planning, design coordination, supervision, documentation and governance for residential, commercial and land/JV development.
- Digital Marketing Services: SEO, paid media, social, content, web/CRO, analytics and related advisory/ops.
- Client Materials: content, trademarks, data, specifications or approvals provided by the client.
- Deliverables: documents, designs, reports, creatives, webpages, dashboards, or outputs produced under an order.
3) Services & Scope
Services are described in proposals, statements of work or work orders (each an “Order”). Engagements are milestone-driven with periodic reviews. Regulatory approvals are project-specific and, unless expressly included in the Order, the client is responsible for obtaining/maintaining them; we support with documentation where in scope.
Real Estate
- Feasibility, layouts, BoQ and schedules
- Supervision, QA/QC, safety checklists, vendor controls
- Change logs, site MIS, handover documentation
- Note: RERA/municipal approvals are project-specific; see Order
Digital Marketing
- Technical SEO, content, campaigns (Google/Meta), social
- Landing pages, CRM/automation hygiene, analytics & A/B testing
- Brand-safety, consent-aware tracking, weekly performance reviews
- Media budgets are paid by the client directly to platforms
4) Orders, Dependencies & Change Control
Each Order lists scope, deliverables, assumptions, dependencies, commercials, and SLAs. Client will provide timely inputs, approvals, access (sites, accounts, data) and nominate a single point of contact. Changes to scope are recorded through a written change request with corresponding impact on fees and timelines.
5) Fees, Taxes, Invoicing & Payments
- Fees: As per Order (retainer, milestone, per-unit or time-and-materials). Out-of-pocket expenses pre-approved by client are chargeable.
- Taxes: Statutory taxes (e.g., GST) are extra as applicable. Client is responsible for withholding taxes, if any, and will provide certificates.
- Invoicing: Typically monthly in arrears or on milestone completion. Payment due within the period specified in the Order (default 15 days). Late payments may attract interest as per applicable law or Order.
- Platforms: Advertising/media spends are paid by client directly to the platform; we may be granted access as agency/manager.
6) Intellectual Property
- Background IP: Pre-existing tools, methods, templates and know-how remain with the respective owner.
- Deliverables: Upon full payment, client receives a non-exclusive, perpetual, worldwide license to use deliverables for internal business purposes (and for marketing outputs, for external campaigns), unless the Order states transfer/assignment.
- Client Materials: Client grants us a limited license to use Client Materials solely to perform the services.
- Marks & Publicity: We may reference client name/mark as “client” in credentials unless client objects in writing.
7) Confidentiality & Data Protection
Both parties will protect each other’s confidential information using reasonable measures and use it only for the engagement. Personal data will be processed in line with our Privacy Policy. We follow consent-aware tracking and platform policies for digital work. Client is responsible for lawfully sharing any personal data with us.
8) Warranties & Disclaimers
- We will perform services with reasonable skill and care using competent resources.
- No guarantee of specific outcomes (e.g., time-to-sell, rankings, lead volumes, ROAS) unless expressly stated in the Order.
- Except as stated, services are provided “as is” without other warranties.
9) Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, loss of profits, data or goodwill. Our aggregate liability for all claims arising from an engagement is capped at the fees paid (or payable) by client for the impacted portion of the services in the 3 months preceding the claim, unless otherwise specified in the Order.
10) Indemnity
Each party will indemnify the other against third-party claims to the extent arising from (a) its breach of law or these Terms, (b) infringement by materials it supplies, or (c) gross negligence or wilful misconduct.
11) Term, Suspension & Termination
- Term continues for the duration of the Order. Either party may terminate for material breach not cured within 15 days of notice.
- We may suspend services for non-payment or unlawful use.
- On termination, client pays for services rendered and approved expenses up to effective date; licenses survive as per Section 6.
12) Compliance & Ethics
- Parties will comply with applicable Indian laws, including anti-bribery, anti-money laundering, and platform policies (for digital).
- Real Estate projects: certain registrations/approvals (e.g., municipal, environmental, RERA where applicable) are project-specific and will be addressed in the Order.
- Parties will follow reasonable site safety and information security practices relevant to the engagement.
13) Governing Law, Jurisdiction & Dispute Resolution
These Terms are governed by the laws of India. Courts at Jaipur, Rajasthan shall have exclusive jurisdiction. Parties will first attempt good-faith resolution via their authorized representatives; if unresolved within 30 days, either party may pursue legal remedies. Nothing prevents a party from seeking interim injunctive relief.
14) Miscellaneous
- Notices: As per Section 15.
- Assignment/Subcontracting: We may subcontract parts of the services; we remain responsible for performance. Assignment requires prior written consent, not to be unreasonably withheld.
- Force Majeure: No liability for delays caused by events beyond reasonable control (e.g., natural events, strikes, outages).
- Severability: If any provision is unenforceable, the remainder remains effective.
- Entire Agreement: These Terms plus applicable Orders form the entire agreement; changes must be in writing.
- Survival: Clauses on fees due, IP, confidentiality, warranties, liability, indemnity, and governing law survive termination.
